Rules and Regulations

(1) Introduction
Tech22.com Sweepstakes ("Sweepstakes") is sponsored by Tech22 14 1st Avenue, New York, NY 10009 ("Sponsor"). Depending on whether a Referring Friend (defined below) referred the Winner, One (1) or Two (2) winner(s) will be selected in a random drawing from among all eligible entries received. [If the winner was referred to Sweepstakes by a friend who provided Sponsor with winner's e-mail address ("Referring Friend"), the Referring Friend will win a prize equal to the prize awarded to winner (see "How to Enter" for details)].

(2) Eligibility
The Sweepstakes is open to legal U.S. (including the District of Columbia) 18 years of age or older at the time of entry. Employees, officers and directors of Sponsor, their respective parents, subsidiaries, and agents, their immediate families (defined as parents, spouses, children, siblings and grandparents) and those with whom such persons are domiciled are NOT eligible. By participating, entrants agree to abide by these Official Rules and the decisions of Sponsor. All of Sponsor's decisions are final and binding in all respects. In the event of a dispute as to the identity of an online entrant, entries made online will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. Potential winners may be required to show proof of being the authorized account holder for that e-mail address. "Authorized account holder" is defined as the natural person assigned to an e-mail address by an Internet service provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain. If more than one Referring Friend has provided winner's information to Sponsor, the Referring Friend's whose information was first received by Sponsor will be deemed the Referring Friend eligible to win alongside the randomly selected winner. Only one Referring Friend is eligible to win.

(3) Timing
The Sweepstakes begins at 12:01:00 a.m. Eastern Standard Time ("EST") on January 31, 2005 and ends at 11:59:00 pm. EST on February 14, 2006 ("Promotion Period"). The potential winner(s) will be drawn on or about March 1st, 2006, from all eligible entries received. The winner(s) will be announced on or about March 31, 2006. The drawing will be conducted by Sponsor and the winner will be announced via email only.

(4) How to Enter
To enter, visit http://www.Tech22.com. and follow the instructions and links accompanying the on-line entry form. For an entry to be deemed valid, all required fields including first name, last name, country, email address, street address, city, state, zip code, gender, birth date, must be completed. After filling in the requested information, click on the "Next" button. LIMIT: Entrants may enter only once. The odds of winning depend on the number of eligible entries received during the Promotion Period, as defined below. Sponsor is not responsible for late, lost, stolen, illegible, incomplete misdirected, or entries received through impermissible or illegitimate channels. Additionally, Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, or injury or damage to any computer related to or resulting from participation or downloading any materials in the Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel or suspend the Sweepstakes should virus, bugs, unauthorized human intervention, or other causes beyond the control of the Sponsor, in Sponsor's sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Sweepstakes. In the event of cancellation, Sponsor may elect to award the prizes to winners drawn from among all entrants who have played the Sweepstakes at the time of cancellation. Any attempt by an entrant to deliberately damage Sponsor's Web site or undermine the legitimate operation of this Sweepstakes may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

(5) Prize
One (1) Grand Prize will be awarded to the winner and if the winner was referred to Sponsor by a Referring Friend, the Referring Friend will also receive a prize equal to the prize awarded to winner.

Eligibility may be verified at any time. All prizes are non-transferable. No substitution permitted, except by Sponsor, who reserves the right to substitute any prize of equal or comparable value in the event of prize unavailability.

(6) Winning
The winner(s) will be selected by means of a random drawing in the Sponsor's database. The potential winner will be notified by e-mail 14 days after the drawing. The potential winner and if applicable, the Referring Friend, must fill out, and return via e-mail, mail, or fax the documents required by Sponsor to verify the identities of Winner and Referring Friend. If the potential winner cannot be contacted within fourteen (14) days of the first attempt, or if the potential winner fails to comply with these Official Rules, that potential winner forfeits the prize and an alternative potential winner will be selected from among all eligible entries received during the promotion period. To claim the prize, the potential winner must execute and return within fifteen (15) days of being notified as the potential winner, an Affidavit of Eligibility, and a Liability and Publicity Release, or that potential winner will be deemed to have forfeited the prize and an alternative potential winner will be selected. Prior to award of any prize including the prize awarded to the Referring Friend, that referring friend must also sign an Affidavit of Eligibility, and a Liability and Publicity Release. Acceptance of a prize constitutes permission for Sponsor to use the winners and, if applicable, the Referring Friend's name and likeness including picture, portrait, voice and biographical information for advertising and promotional purposes without compensation, unless prohibited by law.

(7) Additional Terms
By accepting a prize, winner agrees that Sponsor, its respective parents, subsidiaries and affiliated companies, and the agents, employees directors or officers of these companies, are not liable whatsoever for any injuries, losses or damages of any kind resulting in whole or in part, directly or indirectly, from the acceptance, possession, use or misuse of any prize. Winner is responsible for any applicable taxes, duties or fees on prize. All entries are the property of Sponsor, and none will be returned. Sponsor is not responsible for any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from accessing or downloading any material from Sponsor's Web site, regardless of whether the material was prepared by Sponsor, or a third party, and regardless of whether the material is connected to Sponsor's Web site by a hypertext link. It is understood that if a potential winner forfeits the prize, the Referring Friend also automatically forfeits his/her prize. Sponsor is not responsible if a potential winner forfeits the prize by not abiding by the stated requirements and therefore disqualifying the Referring Friend, who would have been eligible for a prize had potential winner not forfeited the prize. Participant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than the administration of the Sweepstakes or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of New York or the appropriate New York Court (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the participant, Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. All federal, state and local laws apply. Void where prohibited.
